We help companies raise capital for growth.

We support owners and management boards in raising financing from Venture Capital and Private Equity funds, private investors and financial institutions.

We prepare the investment materials and financial model, reach potential investors or lenders, lead the talks and coordinate the process through to closing.

Equity capital

It requires no ongoing repayment, but means admitting an investor to a share in the value of the business and to ownership decisions.

We help raise financing from:

  1. 01Venture Capital funds
  2. 02strategic investors
  3. 03Private Equity funds
  4. 04private investors

Debt financing

It preserves the existing ownership structure, but requires the capacity to service the debt and to meet the lender’s conditions.

We help raise debt financing for growth, capital expenditure and transactions. Depending on the needs of the business, we coordinate processes with banks, debt funds and other financing institutions.

We are an Authorised Adviser on the Catalyst bond market of the Warsaw Stock Exchange.

We coordinate the due diligence review, the work of the advisers and the agreement of documentation through to drawdown of the financing.

When is a company ready for an investor?

Raising capital takes more than an attractive idea. An investor will assess the business model, financial results, growth potential, technology, the team’s capabilities, the funding requirement and how the funds will be used.

Before approaching the market, we point out what needs preparing and whether the current moment offers a realistic chance of completing a transaction on acceptable terms.

8 questions before talking to an investor

  • Are your financial statements for the last 2–3 years in order?
  • Can you say exactly what the capital will be used for and what effect it will have?
  • Do you have a credible financial plan for the next 3–5 years?
  • Can the business model and competitive advantages be described in a few sentences?
  • Do the key capabilities sit within the team, not only with the owner?
  • Do the rights to the technology, brand and IP belong to the company?
  • Are the ownership structure and the articles of association in order?
  • Do you know how much of your equity and influence over decisions you are prepared to give up?

A few “no” answers do not rule out a transaction – they show what to prepare before the company is presented to investors.
